Article 1 NameThis organization shall be known as the Monterey Bay BMW Riders (hereafter the “Club”).
Article 2 Purpose
It shall be the purpose of the Club to promote interest in ownership of, riding, and safe practices pertaining to motorcycles, with a special emphasis on BMW motorcycles in particular; also to exchange technical information among members and/or to acquire it from appropriate outside sources. At all times it shall be a Club objective to promote a positive image of motorcyclists to the general public, and engage in such activities that will achieve this purpose.
Section 2.1 The Club shall maintain charter membership (#217) with BMW Motorcycle Owners of America (hereafter “MOA”).
Article 3 Membership
Section 3.1 Full membership in the Club shall be open to persons who are willing to support the purpose stated above and meet the standards of conduct prescribed by the Board of Directors.
Section 3.1.a Full members each pay the full annual membership dues.
Section 3.1.b Full members each shall have all privileges of membership for purposes of voting or holding office, provided they are of legal age (18 years or older).
Section 3.1.c Full members each receive one copy of the Club newsletter.
Section 3.2 Associate membership in this organization shall be open to persons who are affiliated with a full member, who reside at the same address as a full member, and who are willing to support the club purpose and comply with club standards.
Section 3.2.a Associate members each pay a reduced annual membership fee for dues.
Section 3.2.b Associate members each shall have all privileges of membership for purposes of voting or holding office, provided they are of legal age (18 years or older).
Section 3.2.c Associate members do not receive a copy of the newsletter.
Section 3.3 Charter members will be those individuals who paid their dues by April 1, 1992.
Section 3.4 One becomes a member of the organization by submitting an application form to the Secretary-Treasurer, for approval of the Board of Directors, and by meeting the prescribed requirements of the bylaws.
Section 3.5 No minor children (under 18 years of age) of a member or of an associate member may participate in Club activities unless accompanied by at least one responsible adult.
Section 3.6 The terms “member” or “membership” shall include full members and associate members unless specifically denoted though the remaining sections of these bylaws.
Section 3.7 In accordance with the stated purpose of the Club and its affiliation with MOA, it is recommended that all members of the Club, and especially its Directors, consider personal membership in MOA and/or the American Motorcycle Association (AMA).
Article 4 Dues
Section 4.1 The annual dues shall be determined by the Board of Directors at the beginning of each fiscal year. Dues will be prorated per year for first-time members.
Section 4.2 These dues shall be due and payable to the Treasurer annually, beginning February 1, and delinquent after February 28 of each year. Members who have not paid their dues by February 28, shall have all membership privileges, including voting rights and newsletter, suspended until the first of the month following the month during which the dues are paid in full.
Article 5 Board of Directors
The affairs of the Club will be controlled by a Board of Directors of at least three and always an odd number of members. The Directors shall consist of the following: President, Vice-President, Secretary-Treasurer, immediate past President (if any), and the remaining Directors-at-Large.
Section 5.1 All Directors shall be members in good standing and shall be elected by a simple majority of all members voting at the annual meeting.
Section 5.2 All terms of office shall be one year from February 1, to January 31.
Section 5.3 There will be no limitation on any Officer or Director serving consecutive terms.
Section 5.4 Vacancies on the Board of Directors shall be filled by appointment by the Club Board of Directors from among members in good standing for the remainder of the term.
Section 5.5 The most recent Past President will be a member of the Board of Directors for one year following his or her term as President.
Section 5.6 The current Board of Directors shall decide by a simple majority vote, prior to the annual meeting, whether to increase or decrease the membership of the Board of Directors for the upcoming year. Notice shall be given to the general membership 30 days prior to the annual meeting if there is a change.
Section 5.7 The Board of Directors shall be responsible for the disbursement of funds from the Club treasury by a simple majority vote of all current Directors.
Section 5.8 On or about March 1, of each year there will be a general business meeting at which time the Board-elect will determine whether there is enough interest and funds in the treasury to sponsor a rally during its term of office.
Section 5.9.a If it is determined at that meeting that there will be a rally, the rally site shall be determined by the Board-elect, based upon detailed proposals presented at the annual meeting.
Section 5.9.b Sub-committees shall be designated by the Board-elect based on responses to sub-committee sign-up sheets distributed at the annual meeting. Each sub-committee shall appoint a main contact person for its specific rally function.
Article 6 Elections
Section 6.1 The annual election shall be held in November. All members shall be notified at least 30 days in advance of the election.
Section 6.2 Candidates for the Board of Directors receiving the highest number of votes shall be elected to a term of one year.
Section 6.2.a Nominations for Director-at-Large candidates shall be from the floor.
Section 6.2.b A ballot vote will be required when there are two or more nominations per office.
Section 6.2.c A voice vote is sufficient for one nomination per office.
Article 7 Duties of the Officers
The administration of the organization shall be controlled by the President, Vice-President, Secretary and Treasurer. Any person may hold more than one office except that of the President.
Section 7.1 Duties of the President
a. To preside at all meetings.
b. To see to the enforcement of the objectives and purpose of this Club.
c. To appoint committees and designate chairpersons.
d. Any other duties specifically pertaining to this office.
e. The President shall inform the Vice-President of his or her inability to preside at any meeting.
Section 7.2 Duties of the Vice-President
a. To perform the duties of the President in case of absence.
b. He or she may also perform any other duties which may be assigned by the President or Board of Directors.
Section 7.3 Duties of the Secretary-Treasurer
a. To keep a record of the minutes of the membership and Board meetings.
b. To perform such other duties as assigned by the President or Board.
c. To help prepare communications of the Club and notify the membership of all meetings.
d. To notify new members of their acceptance and provide them with a copy of the bylaws.
e. To receive, record and report all dues, monies and property donated or paid to the club.
f. To maintain a bank account in the name of the Club.
Article 8 Meetings
Section 8.1 Robert’s Rule of Order shall govern the conduct of all meetings of the Club.
Section 8.2 At least one Board of Directors meeting shall be held in each quarter of the calendar year.
Section 8.3 A special Board meeting and/or general meeting may be called by the President or by a quorum of the Board of Directors.
Section 8.4 The majority vote of all members present and voting will be required for the passage of all business resolutions.
Article 9 Amendments
Section 9.1 The bylaws may be amended or repealed by a simple majority vote of a quorum present. The quorum shall be not less than 25% of the total general membership. Any amendment shall become effective 30 days after passage.
Section 9.2 Any amendment or proposal to repeal the bylaws shall first be submitted to the membership in writing at least 30 days before a vote for its consideration.
Section 9.3 Any member of the Club in good standing may submit such an amendment or proposal to repeal.
Article 10 Conduct
Section 10 Any member may be expelled from the Club for disruptive, dangerous or obnoxious behavior.
Section 10.1 If any action of a Club member, regardless of type of membership, is so extremely serious in nature as to require immediate action, the Board may, by unanimous vote of all Board members, revoke the membership of the offending member. A pro-rated refund of the dues will be made to that member. Extremely serious behavior shall include, but not be restricted to, the following:
Section 10.1.a Wild, unsafe riding habits, especially any activity which jeopardizes the safety of other persons.
Section 10.1.b Obnoxious behavior to the detriment of the image of the Club.
Article 11 Non-Member Guests
Section 11 Non-members are welcome at general meetings, rides and social gatherings of the Club as long as they are an invited guest of a member.
Section 11.1 Guests must agree to abide by the Club rules and standards of conduct. Members who bring guests shall be responsible for their conduct.
